How to use this worksheet
Enter close cash before deductions, then itemize any amount withheld in escrow and fixed deferred payments with dates. Add up to three seller-defined scenarios for earnout, escrow release, and later deductions. Only deductions entered as payable at close reduce the close subtotal.
Blank amounts remain unknown. A known subtotal omits unknown deductions and is labeled incomplete; it is not net proceeds. Escrow is an allocation of close cash and is counted once when a release scenario is entered. The worksheet does not parse offers or validate legal terms. Review actual documents with qualified advisers.
